1) Acceptance
By downloading, installing, or using Nexify VPN (the "App" or "Service"), you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.
2) Eligibility
You must be at least 13 years old (or older where your local law requires) and capable of entering into a binding contract.
3) License
We grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App on devices you own or control for your personal, lawful use, subject to these Terms.
4) Account, Subscription, and Billing
- Apple App Store: Subscriptions, free trials, renewals, and cancellations are managed by Apple.
- Free Trial: If offered, cancel before the trial ends to avoid charges.
- Auto-Renewal: Subscriptions renew automatically until canceled in Settings › Apple ID › Subscriptions.
- Pricing & Taxes: We may change prices; Apple will notify where required. Taxes may apply.
- Refunds: Managed by Apple under its policies.
5) Acceptable Use
You agree not to:
- Use the Service to violate laws or rights (e.g., intellectual property, privacy).
- Share, sell, or resell your subscription or access credentials.
- Interfere with or disrupt networks, abuse bandwidth, or perform scanning, spamming, or attacks.
- Distribute malware or attempt to bypass security.
- Access or use the Service in sanctioned regions or by sanctioned parties (under applicable U.S./international sanction and export laws).
We may implement network management (e.g., blocking malicious ports, rate-limits) to protect the Service and users.
6) No Unlawful or Infringing Use
You are solely responsible for your actions. Nexify does not condone using the Service to infringe copyrights, distribute illegal content, or commit fraud.
7) Service Availability & Changes
We may add, change, or remove features; change server locations; or suspend/terminate the Service (in whole or part) for maintenance, security, or legal reasons.
8) Intellectual Property
The App and all content, trademarks, and logos are owned by Nexify or its licensors and protected by law. Except for the license above, no rights are granted to you.
9) Third-Party Services & Content
The Service may use or link to third-party services (e.g., Apple, hosting, analytics). We are not responsible for third-party content or practices.
10) Feedback
If you submit ideas or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without obligation.
11) Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIFY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY (OR USD $50 IF NONE).
13) Indemnity
You agree to indemnify and hold harmless Nexify and its affiliates from any claims, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.
14) Termination
You may stop using the Service at any time. We may suspend or terminate your access immediately if you breach these Terms, for security reasons, or if required by law. Upon termination, your license ends and you must delete the App.
15) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-laws rules.
Arbitration/Class Waiver
Any dispute will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association; class actions are not permitted. You may bring a claim in small-claims court if eligible. Nothing here prevents either party from seeking injunctive relief for misuse of IP or security breaches.
16) Export & Sanctions
You must comply with U.S. export control and sanctions laws. You may not use the Service if you are located in, or are a national of, an embargoed country or are on a restricted list.
17) Apple App Store Terms (Third-Party Beneficiary)
You acknowledge these Terms are between you and Nexify only (not Apple). Apple is a third-party beneficiary and may enforce these Terms as they relate to the App. Nexify is responsible for support (see Section 20). In case of App non-conformity, you may notify Apple for a refund; to the maximum extent permitted by law, Apple has no other warranty obligations.
18) Open Source
The App may include open-source components subject to their licenses. Attributions and license texts are provided in-app or on our website.
19) Changes to Terms
We may modify these Terms. Material changes will be communicated in-app or on our site. Continued use after changes means you accept the updated Terms.
